이 글은 연예기획사와 대중가수(특히 idol 가수) 사이에서 체결되어 온 연예전속계약의 관행을 실증적 관점에서 분석하고 법정책 내지 법해석의 관점에서 약간의 대안을 제시하고자 시도된 것이다. 현재 대중문화의 세계화를 선도하고 있는 K-POP의 열풍이 후진적 계약구조나 법제도에 의해 지지된다면 ‘창의와 자율’을 전제로 하는 예능의 질이 저하될 뿐 아니라 그 외적인 요소에 의해 좌절을 자초할지도 모른다는 우려 때문에서이다. 청소년 연예인의 보호를 둘러싼 법적 논의는 연예문화의 선도국인 미국에서도 이미 오래전부터 있어 왔지만, 이에 대한 연방 법률의 태도가 미온적이고 연예산업에 대한 주(州)들의 이해관계가 얽혀 미성년 연예인의 보호를 입법정책에 반영하여 그 실효성을 확보하는데는 실패하였다고 보는 것이 정설이다. 우리나라에서 아이돌 가수를 포함한 청소년 연예인의 법적 보호문제가 특별히 문제되는 것은 우리나라 고유의 연예산업 구조에서 비롯된 측면이 강하다고 볼 수 있다. 치열한 경쟁구조, 기획사에 의한 일방적인 초기투자와 그에 따른 위험인수 등으로 인해 계약기간, 이익분배, 위약에 따른 손해배상액의 예정 등이 사회질서에 반할 정도로 왜곡된 내용으로 나타나게 된다. 초기투자비용에 대한 분담 등을 통해 계약교섭력이나 불공정성의 문제를 해소하는 것도 하나의 대안이 될 수 있을 것이다. 최근에 분쟁 사안을 해결한 판례들과 공정거래위원회의 표준계약서는 청소년 연예인을 보호하고 연예산업의 선진화를 견인할 수 있는 획기적인 계기가 되었으며, 계약관행의 변화에도 많은영향력을 행사하고 있다. 물론 여전히 이른바 ‘노예계약’으로 일컬어지는 미성년 연예전속매니지먼트계약이 암암리에 체결될 여지는 얼마든지 있다. 판례가 드는 민법 제103조, 제104조 외에 근로기준법의 적용가능성도 적극적으로 탐색해 볼 필요가 있겠다.
The purpose of this study is to discuss the legal problems on minor idor stars entertainer exclusive management contract. The problem of minors entertainer mangement contract which has been criticized as so-called “slave contract” is on noticeable unfair of the content. The content is summarized into excessive extend of the period of contract, distortion of income share structure, a severe liquidate damage and penal sum. Legal basis which causes these contracts void was §103 in existing dispute between an entertainment and an idol star. However, prior to judge legal force about individual issue, I think that it is appropriate to judge whether that contract will valid or invalid depending on whether accepting them laborer or not. Today, because of correct order of Fair Trade Commission(FTC) and an entertainment’s effort to reform to itself, fairness of exclusive contract is being recovered rapidly. With this, innovation of entertainment industries structure should be attended.
